The company does not change. Its registration number, incorporation date, directors and shareholders all stay exactly as they are — what changes is who prepares and lodges the statutory work from that point on, and who holds the record of what has already been done.

Do I need my current secretary's permission to leave?

No. The engagement is a service contract between your company and a provider, and your directors decide who holds it. What your outgoing secretary is entitled to is notice under whatever terms you agreed, and settlement of fees genuinely owed. What they are not entitled to is a veto. What must the outgoing secretary hand over?

The statutory records belong to the company, not to the secretary who maintained them. That means the registers of directors, shareholders, charges and beneficial ownership; the minute book and every board and members' resolution passed; the constitution if one was adopted; share certificates and transfer instruments; and copies of what has actually been lodged with SSM, with the dates on which each was filed. A handover that arrives without the lodgement history is incomplete, and it is the part most often missing.

How long does a company secretary transfer take?

Does transferring reset my annual return or financial year end?

A new secretary inherits those dates; they do not get to choose new ones, and changing a financial year end is a separate decision with its own consequences for your accounts and tax computation.
